Terms & Conditions
These Terms & Conditions govern access to and use of the Slackdevs website and the professional services offered through it.
1. Introduction
These Terms & Conditions govern access to and use of the Slackdevs website and the professional services offered through it.
Slackdevs is the professional brand under which Sebastián Larrauri, acting as an independent individual professional, provides software engineering, artificial intelligence, technology consulting, architecture, and implementation services.
References to “Slackdevs”, “we”, “us”, or “our” mean Sebastián Larrauri, acting in his individual professional capacity. Slackdevs is not a separate legal entity.
By accessing this website, submitting an inquiry, or engaging our services, you agree to the terms applicable to your interaction with Slackdevs.
2. Scope of Services
Slackdevs provides professional technology services that may include:
- AI Architecture & Strategy: technical discovery, AI readiness assessments, architecture design, technical roadmaps, and consulting.
- AI Development & Implementation: AI-powered applications, agents, workflows, RAG systems, automation, and integrations.
- Claude & Claude Code Services: Claude Code adoption, configuration, workflows, Skills, MCP integrations, and engineering process optimization.
- Software Engineering: custom software development, web and mobile applications, backend systems, APIs, and integrations.
- Technical Consulting: software architecture, system design, technical assessments, proof of concepts, and implementation guidance.
The exact services, scope, deliverables, assumptions, exclusions, and responsibilities will be defined in an individual proposal, project agreement, or Statement of Work (SOW).
Descriptions on this website are general service descriptions and do not constitute a guarantee that every listed capability or technology will be included in a particular engagement.
3. Discovery Calls and Initial Consultations
Slackdevs may offer introductory discovery calls to understand a prospective client's needs, objectives, and potential project requirements.
Unless expressly stated otherwise:
- An initial discovery call is exploratory and does not create an obligation to purchase services.
- It does not constitute a formal technical audit, professional assessment, or implementation commitment.
- No confidential technical materials, credentials, production data, or sensitive business information should be shared unless appropriate confidentiality arrangements have been established.
- A formal Mutual Non-Disclosure Agreement (NDA) may be executed upon request before technical discovery or the exchange of sensitive proprietary information.
Any paid consulting or technical discovery engagement will be subject to a separate agreement.
4. Proposals, Estimates, and Project Agreements
Project proposals may include:
- Objectives and scope of work.
- Deliverables and acceptance criteria.
- Estimated timeline and milestones.
- Fees, payment schedule, and applicable taxes.
- Client responsibilities and required resources.
- Assumptions, exclusions, and dependencies.
Website prices, ranges, and estimates are indicative unless expressly identified as a binding offer.
A project engagement begins only when the relevant proposal or agreement has been expressly accepted by both parties, and any required initial payment has been received.
If a project-specific agreement conflicts with these Terms, the project-specific agreement will prevail for that engagement.
5. Fees and Payment Terms
Fees will be established in the applicable proposal or project agreement.
Unless otherwise agreed in writing:
- Prices are quoted in the currency specified in the proposal.
- Payment schedules may include an upfront deposit, milestone payments, or other agreed arrangements.
- Work may be paused if an invoice remains unpaid beyond its agreed due date, following reasonable notice.
- The client is responsible for applicable bank charges, transfer fees, and taxes imposed on their side of the transaction.
- Any applicable taxes or withholding obligations will be addressed in the relevant commercial documentation.
No additional work outside the agreed scope will be undertaken without prior approval of the corresponding fees and conditions.
6. Scope Changes and Additional Work
Requests that materially change the agreed scope, requirements, deliverables, integrations, or technical assumptions may require a change request.
A change request may affect:
- Project fees.
- Delivery dates.
- Resource allocation.
- Technical architecture.
- Acceptance criteria.
Additional work will only proceed after the parties agree on the corresponding changes.
7. Client Responsibilities
The client agrees to:
- Provide accurate and complete project requirements.
- Supply necessary access, documentation, credentials, and resources in a timely manner.
- Ensure they have the legal rights and authorizations required to provide any data, code, content, or materials.
- Review deliverables and provide feedback within agreed timeframes.
- Maintain appropriate backups of their systems and data.
- Ensure that their intended use of the deliverables complies with applicable laws and third-party terms.
Delays caused by missing information, approvals, access, or other client dependencies may affect project timelines and delivery commitments.
8. Deliverables, Review, and Acceptance
Deliverables will be identified in the applicable project agreement.
Where acceptance criteria are defined, the client must review the relevant deliverable within the period established in that agreement.
Any material non-conformity with the agreed acceptance criteria should be reported with sufficient detail to allow investigation and correction.
Additional features, changes in requirements, or requests outside the agreed acceptance criteria will be treated as additional work.
Any deemed-acceptance mechanism must be expressly established in the relevant project agreement and will not override mandatory consumer rights.
9. Intellectual Property
Unless otherwise agreed in writing:
Client Materials
The client retains ownership of all code, content, data, documentation, trademarks, and materials supplied to Slackdevs.
Project Deliverables
Ownership and licensing of custom deliverables will be defined in the applicable project agreement. Where a transfer of intellectual property rights is agreed, that transfer will generally take effect upon full payment of the corresponding fees, subject to applicable law.
Background Technology
Slackdevs retains ownership of pre-existing materials, reusable components, frameworks, methodologies, libraries, templates, tools, know-how, and independently developed technology.
Where such materials are incorporated into a deliverable, the client will receive the license reasonably necessary to use that deliverable for its agreed purpose, subject to any third-party license restrictions.
Third-Party and Open-Source Components
Third-party software, open-source libraries, models, and services remain subject to their respective licenses and terms. Their ownership is not transferred through a Slackdevs engagement.
10. Artificial Intelligence and Automated Systems
Some services may involve artificial intelligence models, agents, automation, retrieval systems, or third-party AI providers.
The client acknowledges that:
- AI-generated outputs may be inaccurate, incomplete, inconsistent, or unsuitable for a particular purpose.
- AI systems may change their behavior as models, APIs, or provider policies evolve.
- Human review may be necessary before relying on AI-generated results, especially in critical business or operational contexts.
- AI systems should not be treated as substitutes for qualified professional judgment where such judgment is required.
- No specific model output, accuracy level, or business result is guaranteed unless expressly agreed in writing.
Slackdevs follows a human-accountability approach: AI can assist engineering and business processes, but responsibility for decisions and production use must remain appropriately assigned to people and organizations.
11. Third-Party Services and Dependencies
Projects may depend on external providers, including cloud platforms, APIs, AI model providers, hosting services, databases, payment processors, and software vendors.
Such services are governed by their own terms, availability, pricing, and technical limitations.
Slackdevs does not control independent third-party services and cannot guarantee their uninterrupted availability, continued compatibility, pricing, or future operation.
Any additional costs charged by third-party providers are the client's responsibility unless otherwise agreed in writing.
12. Confidentiality
Both parties may exchange confidential business, technical, operational, or proprietary information during an engagement.
Confidentiality obligations will be governed by any applicable NDA or confidentiality provisions in the project agreement.
Slackdevs will handle client information with reasonable care and will not intentionally disclose confidential information to unauthorized parties, subject to applicable legal obligations and agreed service requirements.
The detailed confidentiality framework is available in the Slackdevs Mutual Non-Disclosure Agreement (NDA).
13. Security and Data Handling
Slackdevs will apply reasonable technical and organizational safeguards appropriate to the nature and scope of the services.
The client remains responsible for determining the lawful basis for providing personal data and for obtaining any necessary permissions or authorizations.
Specific data processing obligations, security requirements, retention periods, and responsibilities may be established in a separate Data Processing Agreement (DPA) where appropriate.
Slackdevs will not intentionally use client confidential information in public AI services in a manner inconsistent with agreed confidentiality requirements or applicable data protection obligations.
14. Maintenance and Support
Unless expressly included in a proposal or agreement, project fees do not include ongoing maintenance, hosting, monitoring, operational support, or future development.
Post-delivery support, service levels, response times, maintenance windows, and warranty periods must be agreed separately.
15. Warranties and Service Limitations
Slackdevs will perform the agreed services with reasonable professional care and skill.
Unless expressly agreed otherwise, services are provided without a guarantee of specific commercial outcomes, revenue, cost savings, model performance, or business results.
Nothing in these Terms excludes warranties, rights, or remedies that cannot legally be excluded under applicable law.
16. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect or consequential losses, including loss of anticipated profits, business opportunities, or goodwill, where such exclusion is legally enforceable.
For business-to-business engagements, any agreed limitation of direct liability, including a financial cap, must be expressly established in the relevant project agreement.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law, including liability arising from fraud, willful misconduct, or other non-excludable legal obligations.
No provision in this section is intended to restrict mandatory consumer rights.
17. Suspension and Termination
Either party may terminate a project agreement in accordance with its specific termination provisions.
Where no specific provisions exist, either party may request termination by providing written notice.
Upon termination:
- The client must pay for services properly performed and approved expenses incurred up to the effective termination date, subject to applicable law.
- Any agreed deliverables and outstanding payments will be handled in accordance with the project agreement.
- Each party must return or securely dispose of the other party's confidential information where required, subject to legitimate retention obligations.
Slackdevs may suspend services where continued performance would create a material security, legal, or operational risk, or where the client materially breaches its obligations, subject to reasonable notice where appropriate.
18. Force Majeure
Neither party will be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, widespread network failures, governmental actions, war, civil unrest, or major third-party infrastructure disruptions.
The affected party must notify the other party within a reasonable period and take reasonable steps to mitigate the impact.
19. International Clients and Applicable Law
Slackdevs provides services to clients located in different countries.
For business-to-business agreements, these Terms and any related project agreement will be governed by the laws of the Argentine Republic, unless the parties expressly agree otherwise in writing.
Subject to mandatory rules governing jurisdiction, disputes arising from business-to-business engagements will be submitted to the competent courts of the City of Córdoba, Argentina.
This provision does not exclude or restrict mandatory consumer protection, data protection, or other non-waivable rights that may apply in the client's country or under applicable international private law rules.
For consumer engagements, applicable law and jurisdiction will be determined in accordance with the mandatory legal protections applicable to that relationship. Nothing in these Terms constitutes a waiver of a consumer's right to bring a claim before a competent court where the law grants that right.
20. Changes to These Terms
Slackdevs may update these Terms from time to time to reflect changes in services, business practices, or legal requirements.
The updated version will be published on this website with a revised date.
Changes will not retroactively modify an existing project agreement unless expressly agreed by the parties or required by applicable law.
21. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
The invalid provision will be interpreted or replaced, where legally possible, in a manner that most closely reflects its original purpose.
22. Entire Agreement
These Terms govern general use of the Slackdevs website and the general conditions applicable to its services.
A project proposal, Statement of Work, NDA, DPA, or other written agreement may establish additional or different terms for a specific engagement.
In case of conflict, the specific written agreement will prevail for the subject matter it expressly addresses.
